Terms of Service

1. Agreement

These Terms govern your use of the Koa Partners Portal (the "Portal"), provided by [PLACEHOLDER: legal entity name and state of organization] ("Koa"). By signing in or using the Portal you agree to these Terms and our Privacy Policy. If you use the Portal on behalf of an organization, you confirm you may bind it. If Koa and your organization have a separate written agreement, that agreement controls wherever it conflicts with these Terms.

2. Accounts

Accounts are created by invitation. You must provide accurate information, keep your credentials confidential, and tell us promptly if you suspect unauthorized access. You are responsible for activity under your account. Organization administrators may invite, manage and remove users and control which services each user can open.

3. The services

The Portal lists and launches services made available to your organization. Access depends on the entitlements granted to your organization and may change. Launched services may have their own terms, which apply in addition to these Terms for those services.

4. Acceptable use

You agree not to:

access the Portal or any service without authorization, or share or sell access;
probe, scan or test the vulnerability of the Portal, or bypass any security or access control;
interfere with or overload the Portal, or introduce malware;
use the Portal to violate law or the rights of others, or to submit information you have no right to submit;
reverse engineer or copy the Portal except as the law allows.

5. Your data

As between you and Koa, your organization retains its rights in the data it submits. You give Koa the rights needed to host, process and display that data to provide the Portal and the services you launch, as described in the Privacy Policy and any agreement with your organization.

6. Intellectual property

Koa and its licensors own the Portal, including its software, design and marks. We grant you a limited, revocable, non-transferable right to use the Portal for its intended purpose while you have an active account.

7. Suspension and termination

We or your organization's administrator may suspend or end your access at any time, including for suspected misuse or security risk. You may stop using the Portal at any time. Sections that by their nature should survive termination will survive.

8. Disclaimers

The Portal is provided "as is" and "as available". To the fullest extent permitted by law, Koa disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant uninterrupted or error-free operation. The Portal does not provide legal, medical or immigration advice.

9. Limitation of liability

To the fullest extent permitted by law, Koa will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, and its total liability for claims relating to the Portal will not exceed the greater of the amounts paid for the Portal by your organization in the 12 months before the claim and $100. Some jurisdictions do not allow these limits, so they may not fully apply to you.

10. Indemnity

You will indemnify Koa against third-party claims arising from your misuse of the Portal or breach of these Terms, to the extent permitted by law.

11. Governing law

12. Changes
